Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GSN Tickets platform ("Service"), operated by BrownGlobal Holdings LLC ("Company", "we", "us"). By creating an account or using the Service you agree to these Terms.
1. The Service
GSN Tickets provides ticketing, payment processing (via Stripe Connect), and gate-scanning tools for sports teams and event organizers ("Organizers"). Organizers are the merchants of record for ticket sales on their team page; GSN Tickets acts as a technology and payments facilitator.
2. Accounts
You must provide accurate registration information and keep it current. You are responsible for activity under your account and for safeguarding your credentials. You must be at least 13 years old (or the age of majority in your jurisdiction) to use the Service.
3. Buying Tickets
All ticket sales are processed by Stripe and routed to the Organizer. The Organizer sets prices, quantities, refund policy, and entry rules. Tickets are personal and may not be resold without the Organizer's consent. Possession of a valid QR code does not guarantee entry; Organizers may refuse entry per their venue rules and applicable law.
4. Selling Tickets (Organizers)
Organizers must accept the Stripe Connected Account Agreement to receive payouts. Organizers are responsible for: tax collection and remittance, compliance with local event-licensing and consumer-protection laws, accurate event details, customer service for ticket holders, and issuing refunds where required by law or by their stated policy.
GSN Tickets charges a platform fee on each transaction (default 5% + $0.30, subject to change with notice). Stripe processing fees are additional and are deducted from the payout.
5. Refunds & Chargebacks
Refunds are issued by the Organizer. If a ticket is refunded, the corresponding QR code is invalidated. Chargebacks initiated by the cardholder are debited from the Organizer's Stripe balance. GSN Tickets platform fees on refunded transactions are non-refundable.
6. Acceptable Use
You agree not to: (a) use the Service to sell illegal goods or events; (b) defraud buyers or misrepresent events; (c) attempt to access accounts, data, or QR codes you do not own; (d) interfere with or reverse engineer the Service; (e) use automated systems to scrape or scalp tickets.
7. Intellectual Property
The Service, including the GSN Tickets name, logo, and software, is owned by BrownGlobal Holdings LLC and is protected by intellectual property laws. You retain ownership of content you upload (logos, event images) and grant us a worldwide, non-exclusive license to host and display that content as needed to operate the Service.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROWNGLOBAL HOLDINGS LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
10. Indemnification
You agree to indemnify and hold harmless BrownGlobal Holdings LLC from any claims, damages, or expenses arising out of your events, your content, or your violation of these Terms or applicable law.
11. Termination
We may suspend or terminate your account at any time if we believe you have violated these Terms, including for fraud, chargebacks, or unlawful activity.
12. Governing Law
These Terms are governed by the laws of the State in which BrownGlobal Holdings LLC is registered, without regard to conflict-of-laws rules. Disputes shall be resolved in the courts of that jurisdiction unless otherwise required by law.
13. Changes
We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use after changes constitutes acceptance.
