Terms of Service

These Terms govern use of GSN Tickets, operated by BrownGlobal Holdings LLC("GSN Tickets," "we," or "us"). The platform provides event listings, Stripe-powered checkout, digital ticket delivery, team dashboards, and gate-scanning tools. By using the service, you agree to these Terms and the applicable Stripe terms presented during account onboarding or checkout.

1. Fans and ticket purchases

The event organizer sets the event details, ticket price, capacity, venue rules, entry conditions, and refund policy. GSN Tickets facilitates the transaction and ticket technology. A purchase is not complete until Stripe confirms payment and GSN Tickets issues the ticket. Each admission has a private QR code that becomes invalid after its first successful scan. You must keep ticket codes private and may not duplicate, resell, or transfer them unless the organizer permits it.

2. Service fees

Unless a different price is clearly displayed or agreed for a particular organizer, the buyer pays a GSN Tickets service fee of 5% of the ticket subtotal plus US$0.50 per ticket. The fee is shown before payment and covers payment processing, digital delivery, platform operation, support, and scanning tools. The organizer receives the listed ticket subtotal through its connected Stripe account, subject to reserves, negative balances, refunds, disputes, taxes, currency conversion, and other adjustments permitted by Stripe or these Terms.

3. Checkout reservations

Opening Stripe Checkout may reserve the selected inventory for up to 30 minutes. A reservation is not a ticket and does not guarantee admission until payment is confirmed. Unpaid, expired, cancelled, or failed checkouts may be released automatically. We may correct inventory errors, duplicate orders, or obvious pricing mistakes and will refund an affected paid order when required.

4. Organizer eligibility and responsibilities

An organizer account must be controlled by a person who is at least 18 years old and legally able to act for the team or organization. Organizers must provide accurate identity, banking, tax, and event information; complete Stripe Connect onboarding; obtain venue and event permissions; comply with consumer, accessibility, tax, sanctions, and licensing requirements; provide event-day customer service; and honor the refund policy displayed for the event.

Organizers may invite scanner accounts only for trusted staff. Scanner credentials may not be shared. Scanner users may validate entry but are not authorized to change event, ticket, payout, or inventory settings unless separately granted owner access.

5. Stripe, payouts, refunds, and disputes

Payments and payouts are provided by Stripe. Availability, payout timing, supported countries, currencies, verification requirements, reserves, and account restrictions are controlled by Stripe. GSN Tickets cannot guarantee that Stripe will approve or continue supporting a particular organizer.

The organizer decides whether a refund is due, except where law, Stripe, card-network rules, or GSN Tickets requires otherwise. A full refund invalidates unused tickets and may return them to inventory. Used tickets may remain unavailable for resale. GSN Tickets may deduct, reverse, invoice, or recover from an organizer any refund, dispute, chargeback, penalty, negative balance, or loss connected to the organizer's event or conduct, including amounts initially paid by GSN Tickets through the payment flow. Service fees may be non-refundable except where required by law or expressly stated otherwise.

6. Entry and event responsibility

The organizer, not GSN Tickets, produces and controls the event. A valid ticket is evidence of purchase, but entry remains subject to lawful venue capacity, safety, age, conduct, and security rules. Organizers may not use GSN Tickets for unlawful, misleading, unsafe, or nonexistent events.

7. Prohibited conduct

You may not commit fraud; copy or guess ticket codes; bypass access controls; scan tickets for an event you are not authorized to staff; scrape or scalp inventory; interfere with the platform; misrepresent an event; upload unlawful content; or use the service in violation of law, Stripe rules, sanctions, or card-network requirements. We may suspend accounts, events, payouts, or tickets to investigate risk.

8. Intellectual property and uploaded content

GSN Tickets software, branding, and platform content are owned by BrownGlobal Holdings LLC or its licensors. Organizers retain rights to content they upload and grant us a non-exclusive, worldwide license to host, reproduce, resize, and display it as needed to provide and promote their event pages. Organizers confirm they have permission to use all uploaded names, logos, images, and marks.

9. Privacy and security

Our Privacy Policy explains how information is handled. No online service is completely secure. You are responsible for safeguarding account credentials, connected devices, and ticket QR codes and for promptly notifying us of suspected unauthorized access.

10. Disclaimers and liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE ARE NOT RESPONSIBLE FOR AN ORGANIZER'S EVENT, CANCELLATION, VENUE, SAFETY, GOODS, SERVICES, OR CONDUCT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROWNGLOBAL HOLDINGS LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR A CLAIM WILL NOT EXCEED THE GREATER OF THE GSN TICKETS FEES PAID IN CONNECTION WITH THE TRANSACTION AT ISSUE OR US$100, EXCEPT WHERE A DIFFERENT LIMIT IS REQUIRED BY LAW.

11. Indemnification

Organizers agree to defend, indemnify, and hold BrownGlobal Holdings LLC and its affiliates harmless from claims, losses, refunds, disputes, penalties, and reasonable costs arising from their events, content, staff, venue, taxes, legal noncompliance, customer promises, or breach of these Terms.

12. Suspension and termination

We may suspend or terminate access, remove an event, invalidate tickets, delay a payout, or preserve funds when reasonably necessary to address fraud, safety, legal requests, disputes, excessive chargebacks, prohibited activity, or a Terms violation. Obligations involving payments, disputes, liability, and indemnification survive termination.

13. Governing law and changes

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules, except where mandatory consumer law provides otherwise. We may update these Terms prospectively and will post the revised effective date. Material changes may also be communicated through the service or email.
